A. Due Diligence

A.1 “Due Diligence Date” means the date 28 days after the Contract Date however if that date is not a Business Day in Townsville, the parties agree the Due Diligence Date will be the next following Business Day.

A.2 This contract is subject to and conditional upon the Buyer being satisfied with anything the Buyer considers relevant to the purchase of the Property or the results of any enquiries the Buyer makes regarding the Property, the Scheme or the Body Corporate.

A.3 The Seller authorises the Buyer or the Buyer’s solicitor to inspect and obtain copies of all records relating to the Property held by the Local Council or any other authority maintaining such records and will if requested by the Buyer promptly sign an authority form addressed to the Local Council or other authority for the purposes of this special condition.

A.4 The Buyer may terminate this Contract by notice in writing to the Seller given on or before 5.00pm on the Due Diligence Date if the Buyer is not, in the Buyer’s absolute discretion, satisfied with anything the Buyer considers relevant to the purchase of the Property or the results of any enquiries the Buyer makes regarding the Property, the Scheme or the Body Corporate.

A.5 If this Contract is terminated under this special condition, the Deposit will be promptly refunded in full to the Buyer.

A.6 If the Buyer does not give the Seller notice on or before 5.00pm on the Due Diligence Date terminating this contract pursuant to this special condition, it will be deemed that this special condition is satisfied and the Buyer will no longer have a right to terminate the contract pursuant to this special condition.

B. Condition of Property at Settlement

B.1 The Seller must ensure that at the time of settlement on the Settlement Date the Property (including the yards and any lawns) is in a clean and tidy condition and all electrical appliances/equipment forming part of the Property (such as ceiling fans, air conditioners, the oven and garage door/s) are in working order. This is an essential term of this contract.

C. Vacant Possession

C.1. The Seller must give vacant possession of the Property to the Buyer at settlement on the Settlement Date. The Seller acknowledges it is critical to the Buyer that the Buyer is given vacant possession of the Property at settlement on the Settlement Date. This is an essential term of this contract.
